These Terms and Conditions (“Terms”) govern your access to and use of the Capital Valley Discovery Services website, including cvdlegal.com, its webpages, online forms, client-portal links and other website features collectively referred to as the “Website.”
The Website is operated by Capital Valley Discovery Services (“Capital Valley Discovery,” “CVD,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Website.
1. Website Purpose
The Website provides general information about Capital Valley Discovery Services and the litigation-support, document-organization and related services that may be available.
The Website may allow users to:

Capital Valley Discovery Services does not represent Website visitors as legal counsel.
Submitting an inquiry or quote request also does not automatically create a client relationship, service-provider relationship, fiduciary relationship or contractual engagement between you and Capital Valley Discovery Services.
A service relationship is established only when Capital Valley Discovery Services accepts the engagement and the parties enter into an applicable written agreement, statement of work, proposal, authorization or other confirmed arrangement.
4. No Guarantee of Engagement
We reserve the right to accept or decline any inquiry, quote request or proposed project.
Submitting a form does not guarantee:
That we will accept the project;
That we are available by the requested deadline;
That the requested service falls within our scope;
That a particular price will be available;
That a conflict or confidentiality concern does not exist; or
That we will provide services before a written engagement is confirmed.
You should not rely on the submission of a Website form as confirmation that a deadline, appearance, filing, production, deposition or trial-support request has been accepted.
5. Separate Service Agreements
These Terms govern use of the Website. They do not govern all terms of a paid client engagement.
Actual services may be subject to a separate:
Proposal;
Statement of work;
Service agreement;
Master services agreement;
Confidentiality agreement;
Data-processing agreement;
Work authorization;
Invoice;
Payment arrangement; or
Other written agreement.
If these Website Terms conflict with a signed agreement governing a specific project, the signed agreement will control with respect to that project.
6. Quotes and Estimates
Prices, rates, packages or service descriptions displayed on the Website are general information and may change without notice.
A quote or estimate may depend on factors including:

Complexity;

In particular, do not include through a general Website form:

Full payment-card information;
Confidential discovery materials;
Sealed documents;
Information subject to a protective order; or
Materials requiring secure transmission.
If a project is accepted, Capital Valley Discovery Services may provide instructions for an approved document-transfer method.
We are not responsible for sensitive information submitted through an unapproved or unsecured communication method contrary to these instructions.
8. Accuracy of Information You Provide
You agree that information you provide through the Website will be accurate, current and complete to the best of your knowledge.
You must not:
Impersonate another person or organization;
Submit false contact information;
Misrepresent your authority;
Submit information you are not authorized to disclose;
Upload malicious or unlawful content; or

Capital Valley Discovery Services disclaims warranties regarding the Website, including implied warranties of:

To the fullest extent permitted by applicable law, Capital Valley Discovery Services and its owners, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising solely from your use of or inability to use the Website.
This may include losses associated with:

Unauthorized access caused by a user’s failure to protect credentials; or
Reliance on general Website content.
To the fullest extent permitted by law, Capital Valley Discovery Services’ aggregate liability arising solely from use of the public Website will not exceed the greater of:
The amount you paid specifically for access to the Website during the six months before the event giving rise to the claim; or
One hundred dollars.
Because use of the public Website is generally provided without charge, the second amount will ordinarily apply.
This limitation does not apply where liability cannot legally be limited, including liability that may arise from fraud, willful misconduct or other conduct for which limitation is prohibited by law. California Civil Code section 1668 restricts contractual provisions that attempt to excuse responsibility for fraud, willful injury or violations of law.
Liability related to an actual client project will be governed by the applicable signed service agreement rather than solely by these Website Terms.
23. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Capital Valley Discovery Services and its owners, officers, employees and contractors from third-party claims, damages, liabilities, losses and reasonable expenses arising from:
Your unlawful use of the Website;
Your violation of these Terms;
Materials you submit without proper authorization;
Your infringement of another party’s rights;
Your misuse of a client portal or account; or
Fraudulent or intentionally harmful conduct by you.
This provision does not require you to indemnify Capital Valley Discovery Services for its own fraud, willful misconduct or conduct for which indemnification is prohibited by law.

Your use of the Website is also subject to our Privacy Policy.

27. Venue
Unless a different forum is required by applicable law or agreed to in a separate signed agreement, disputes arising solely from use of the Website will be brought in a state or federal court having jurisdiction in or serving Placer County, California.
You and Capital Valley Discovery Services consent to the personal jurisdiction of those courts for such disputes.
This venue section does not override any dispute-resolution provision contained in a separate signed service agreement.
28. Time Limit for Claims
To the extent permitted by applicable law, a claim arising solely from use of the Website must be commenced within one year after the claim accrued.
This provision does not shorten a legally mandated limitations period when applicable law does not permit it to be shortened.
29. Changes to These Terms
We may update these Terms periodically to reflect changes in:
Website functionality;
Business operations;
Services;
Technology;
Security practices; or
Applicable requirements.
The updated Terms will be posted on the Website with a revised “Last Updated” date.
Changes will apply prospectively from the effective date unless otherwise stated or required by law.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution.
31. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
32. No Waiver
A failure by Capital Valley Discovery Services to enforce any provision of these Terms does not waive the right to enforce that provision later.
A waiver is effective only when made in writing by an authorized representative.
33. Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent.
Capital Valley Discovery Services may assign these Terms as part of a merger, acquisition, restructuring, sale of assets or transfer of Website operations, subject to applicable law.
34. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Capital Valley Discovery Services concerning use of the public Website.
They do not replace or modify a signed agreement governing paid services or a specific client engagement.
